Terms and Conditions

These Terms and Conditions (“Agreement”) constitute a legally binding agreement between you (referred to as “Customer,” “You,” or “Your”) and Xptronics Inc (referred to as “XPtronics,” “We,” “Us,” or “Our”). This Agreement governs Your use of the PCB assembly services provided by XPtronics. By availing of our services, You acknowledge that You have read, understood, and agree to be bound by this Agreement.

PCB Assembly Services:

1.1 XPtronics offers professional PCB assembly services, including but not limited to surface mount technology (SMT) assembly, through-hole assembly, mixed technology assembly, and related testing services, as per Customer’s specifications.

1.2 Customer is responsible for providing accurate and complete documentation, such as Gerber files, bill of materials (BOM), assembly drawings, and any other necessary files required for the assembly process.

Quotation and Pricing:

2.1 XPtronics will provide a quotation to the Customer based on the information provided by the Customer, including the PCB design, quantity, components, and any additional specifications.

2.2 Quotations are valid for a specified period, typically 30 days, unless otherwise stated.

2.3 Pricing may be subject to change if there are modifications to the order, such as changes in quantities, specifications, or fluctuations in the cost of components or manufacturing processes. In such cases, XPtronics will notify the Customer and obtain approval before proceeding.

Ordering and Payment:

3.1 Orders must be placed in writing, either through XPtronics’s online platform or by email, clearly specifying the quantity, specifications, and any other relevant details.

3.2 Payment terms, including deposit requirements and payment due dates, will be provided in the quotation. XPtronics reserves the right to require partial or full payment in advance.

3.3 Payments must be made in the currency specified in the quotation and in the mode of payment agreed upon between the parties.

3.4 In the event of late payment, XPtronics reserves the right to suspend or delay the assembly process until the outstanding payment is received.

Delivery and Shipment:

4.1 XPtronics will make reasonable efforts to meet the agreed-upon delivery schedule. However, delivery times are estimates and not guaranteed.

4.2 XPtronics will ship the completed assemblies to the shipping address provided by the Customer, unless otherwise specified.

4.3 XPtronics is not responsible for any delays, loss, or damage that may occur during transit.

Quality and Warranty:

5.1 XPtronics strives to deliver high-quality PCB assemblies. However, it is the Customer’s responsibility to thoroughly test and validate the assembled PCBs upon receipt.

5.2 XPtronics warrants that the assembly services will be performed in a professional manner and in accordance with industry standards.

5.3 The warranty period for assembly services 6 months from the date of delivery. During this period, XPtronics will repair or replace or refund any defective assemblies at its sole discretion.

5.4 The warranty does not cover defects arising from the Customer’s design, improper handling, storage, or any modifications made by the Customer or a third party without XPtronics’s prior written consent.

Intellectual Property:

6.1 Customer retains all intellectual property rights to the designs, specifications, and other materials provided to XPtronics.

6.2 XPtronics will take reasonable measures to protect the confidentiality of Customer’s intellectual property, but cannot be held liable for any unauthorized access, use, or disclosure of such information.

Limitation of Liability:

7.1 To the maximum extent permitted by law, XPtronics shall not be liable for any indirect, consequential, incidental, or special damages arising out of or in connection with the provision of assembly services, including but not limited to lost profits, loss of data, or business interruption.

7.2 In no event shall XPtronics’s total liability exceed the amount paid by the Customer for the specific assembly services giving rise to the claim.

Termination:

8.1 Either party may terminate this Agreement in the event of a material breach by the other party, provided that written notice of the breach is given and the breaching party fails to cure the breach within a reasonable time.

8.2 Upon termination, the Customer shall pay for any completed work and any outstanding payments due up to the termination date.

Governing Law and Jurisdiction:

9.1 This Agreement shall be governed by and construed in accordance with the laws of Canada.

9.2 Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Canada.
